We have audited the books and records of John H. Voorhees, Treasurer, for the period February 1, 1927, to June 30, 1927. We hereby certify that in our opinion the foregoing Balance Sheet dated June 30, 1927, reflects the true financial condition of the Association at date thereof. We further certify that the Statement of Cash Receipts and Disbursements, February 1, 1927, to June 30, 1927, appearing in the General Statement of Cash Receipts and Disbursements beginning at p. 219 ante, is correct. NOTE. The books and records of Mr. Frederick E. Wadhams, as Treasurer, from June 21, 1926, to the time that Mr. Edward Kaestner took over the work of the Treasurer as Acting Treasurer, and the books and records of Mr. Kaestner, as such Acting Treasurer, to the time Mr. John H. Voorhees entered on his duties as Treasurer, February 1, 1927, were examined, audited and approved by the New York State Audit Company of Albany. The books and records of Mr. Voorhees, as Treasurer, were examined, audited and approved by Albert T. Bacon & Co., certified public accountants, of Chicago, their approval so far as the books and records of Mr. Wadhams and Mr. Kaestner are concerned being based upon the audit of the same by the New York State Audit Company.

REPORT

OF THE

EXECUTIVE COMMITTEE

BUFFALO, N. Y., August, 31, 1927.

To The American Bar Association:

The Executive Committee of the Association met immediately following the adjournment of the last annual meeting at Denver, Colorado; also at Birmingham, Alabama, on January 12 and 13; at Washington, D. C., on May 11 and 12; and has been in session in Buffalo, New York, during the past two days.

At the Denver meeting two members of the committee were absent, at the Birmingham meeting all members were present, at Washington there was one absentee, and at Buffalo all members are present.

At present there are 9 Sections, 15 standing committees, 10 special committees, and 2 sub-committees functioning on behalf of the Association.

At the Denver meeting the appropriations for sections, committees, and other activities of the Association for the ensuing year were made, and a sub-committee was appointed to study the question of creating a special committee to consider the education of aliens and questions relating to their naturalization. As a result of this investigation and report, the Executive Committee recommends that a special committee to consider and make recommendations pertaining to these subjects be appointed for the ensuing year.

It is with deep regret that the committee reports the death on September 5, 1926, of our most loyal and faithful colleague, the late Frederick E. Wadhams. On behalf of the Association a suitable memorial will be presented at the Wednesday afternoon session. Mr. Edward Kaestner, who had faithfully assisted Mr. Wadhams during his entire tenure of office as Treasurer, was appointed by this committee the Acting Treasurer of the Association.

At the Birmingham meeting Mr. John H. Voorhees, of Sioux Falls, South Dakota, was elected Treasurer of the Association to fill the vacancy created by Mr. Wadham's death.

The work of the Committee on American Citizenship was, upon recommendation of that committee, reorganized so as to provide for a special committee in each state to assist in the work of the standing committee of this Association, such committee to be composed of the Vice-President of this Asssociation in the respective states, who should be ex officio Chairman of the local committee and should, in cooperation with the Local Council in his state recommend a suitable number of members of the Association to the President for appointment.

In view of the action by the Executive Committee of the Conference of Commissioners on Uniform State Laws recommending that the Uniform Fire Arms Act be recalled for further consideration by the Conference, the vote of the Association approving this act was reconsidered, and the subject is still pending both before the Conference of Commissioners on Uniform State Laws and this Association.

The By-Laws of the Mineral Law Section have been submitted to the Executive Committee and approved.

Upon recommendation of the Association's Standing Committee on Professional Ethics and Grievances two memberships have been forfeited because of unprofessional conduct.

Ten amendments to the Constitution have been proposed, and notice in accordance with the requirements thereof has been given to the membership.

The Executive Committee recommends the adoption of the following amendments:

Amend paragraph "f" of Article III by striking out $200.00" and inserting "$100.00" and by inserting the word active" before the word "life" in lines 3 and 7 of said paragraph, so that it will read: "(f) Any person eligible for membership in this Association and nominated and elected as above provided, and any member of the Association heretofore elected may become an active life member of this Association upon written notice to the Treasurer and payment of the sum of $100.00 for such life membership. Such payment when made shall be in full of all dues to this Association during the lifetime of such member. An active life member shall have all the privileges of an active member of this Association. All sums paid for life membership in the Association shall be invested by the

Treasurer and the income therefrom shall be used for general purposes of the Association unless otherwise provided by further amendment hereto."

Change the last clause of Paragraph one of Article IV by adding thereto in the federal union and a member from the District of Columbia," so that the clause will read:

"A General Council, consisting of one member from each state in the federal union and a member from the District of Columbia."

3.

Add to Paragraph two of Article IV "nor shall the same person be elected Secretary, nor shall the same person be elected Treasurer in more than three successive years after the year 1927" so that the same will read:

"The same person shall not be elected President in two successive years; nor shall the same person be elected Secretary, nor shall the same person be elected Treasurer in more than three successive years, after the year 1927."

Amend Paragraph four of Article IV by cancelling all after the words "members ex officio" in line 5 and substituting the following: together with nine other members to be elected by the Association upon nomination by the General Council three of whom shall be elected upon the adoption of this Article for one year, three for two years and three for three years, and thereafter three to be elected each year to serve for a term of three years, but no member after the year 1927 shall be re-elected to succeed himself as a member of the Executive Committee. The President and in his absence the former President shall be Chairman of the Committee."

so that this paragraph will read as follows:

"There shall be an executive committee, which shall consist of the President, the last retiring President, the Chairman of the General Council, the Secretary, the Treasurer and the Editor-in-Chief of THE AMERICAN BAR ASSOCIATION JOURNAL all of whom shall be members ex-officio, together with nine other members to be elected by the Association upon nomination by the General Council, three of whom shall be elected upon the adoption of this article for one year, three for two years and three for three years, and thereafter three to be elected each year to serve for a term of three years, but no member after the year 1927 shall be re-elected to succeed himself as a member of the Executive Committee. The President, and in his absence the former President, shall be the Chairman of the Committee."

5.

The Executive Committee recommends that the following proposed amendment be amended by striking out the word "shall " in the first line and inserting in lieu thereof the word "may,"
